These terms are governed by the laws of England and Wales

01. Agreement to Terms

By accessing our website or engaging AQmedia's services, you agree to be bound by these Terms of Service and all applicable laws and regulations of England and Wales. If you do not agree with any part of these terms, you may not use our services.

These Terms constitute a legally binding agreement between you ("Client") and AQmedia ("we", "our", or "us"), a digital services company operating in the United Kingdom. Where you are acting as a consumer, your statutory rights under the Consumer Rights Act 2015 and other applicable UK consumer protection legislation are not affected by these Terms.

02. Services

AQmedia provides web development, AI-powered marketing, SEO, and related digital services as agreed upon in individual project proposals or service agreements. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or project proposal issued to you.

We will perform all services with reasonable care and skill in accordance with the Consumer Rights Act 2015. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable prior notice.

03. Client Responsibilities

To enable us to deliver your project on time and to specification, you agree to:

  • Provide accurate, complete, and timely information, materials, and feedback as requested
  • Designate a primary point of contact authorised to make decisions on your behalf
  • Ensure you hold all necessary rights to use any materials (text, images, logos, data) you provide to us
  • Pay all invoices in accordance with the agreed payment schedule

Delays caused by late client feedback or missing materials may result in revised timelines. AQmedia shall not be held responsible for such delays, provided we notify you promptly.

04. Payment Terms

Unless otherwise stated in your project proposal:

  • A 50% deposit is required before project work commences
  • The remaining balance is due upon project completion, prior to final delivery or go-live
  • Invoices are payable within 14 days of issuance
  • Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate, together with compensation for debt recovery costs where applicable

All prices are quoted in GBP and are inclusive of VAT where applicable, unless stated otherwise. AQmedia reserves the right to pause work on any project where payment is overdue by more than 14 days, after giving written notice.

05. Intellectual Property

Your Materials

You retain full ownership of all content, logos, data, and materials you provide to us.

Deliverables

Upon receipt of full payment, AQmedia assigns to you ownership of the final project deliverables as specified in the SOW. This excludes any third-party components, open-source libraries, or pre-existing proprietary tools used in development, which remain subject to their respective licences.

Portfolio Rights

Unless you request otherwise in writing prior to project completion, AQmedia reserves the right to display your completed project in our portfolio and case studies, in accordance with our obligations under UK data protection law.

06. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. AQmedia will not disclose your business strategies, data, or project details to third parties without your prior written consent, except as required by law or by order of a court or competent authority.

07. Warranties & Disclaimers

AQmedia warrants that services will be performed with reasonable care and skill, in conformity with any description provided, and within a reasonable time, as required by the Consumer Rights Act 2015.

To the extent permitted by law, our website and any ancillary tools are provided on an 'as is' basis. We do not guarantee that our website will be uninterrupted or error-free. Nothing in these Terms excludes or limits any liability that cannot be excluded under UK law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

08. Limitation of Liability

Subject to clause 07 above, AQmedia's total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific project giving rise to the claim in the 3 months preceding the claim.

We shall not be liable for any indirect or consequential losses, including loss of profit, loss of data, or loss of business opportunity, to the extent permitted by applicable UK law. Nothing in these Terms affects your statutory rights as a consumer.

09. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

  • You will be invoiced for all work completed up to the termination date, calculated on a pro-rata basis
  • The deposit is non-refundable unless termination is due to AQmedia's material breach of contract
  • AQmedia will deliver all completed work and assets to you upon receipt of any outstanding payment

Where you are a consumer and AQmedia is in material breach, you may be entitled to additional remedies under the Consumer Rights Act 2015.

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved informally, either party may refer it to an Alternative Dispute Resolution (ADR) scheme or, as a last resort, to the courts.

Consumers also have access to the European Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr (where applicable) and may seek guidance from Citizens Advice or Trading Standards.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer residing in Scotland or Northern Ireland, in which case local statutory protections may apply.

12. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable prior notice. Continued use of our services after revised Terms are posted constitutes your acceptance of those changes. We will always display the 'Last Updated' date at the top of this page.
